Period of Escrow / Vesting / Non-Dump / Non-Trading Period:
As pooled investments rely upon stability of value, the Purchaser and the Company agree that early trading, excess trading or any attempt to manipulate the market will be detrimental to all parties. It is proposed that the Company is to hold its own funds as vested and non-tradeable in the following ratio:
Company holdings –
30% year 1, with up to 5% (one-sixth) being traded
25% year 2, with up to 10% (two-sixths) being traded
20% year 3, with up to 15% (three-sixths) being traded, and so on, as to hold the asset value stable for the first five (5) years after launch.
The Purchaser agrees to a lesser period of escrow or non-trading, with up to 50% of their holdings being able to be traded, sold, or redeemed after 180 days, and up to 100% of their investment being able to be traded, sold or redeemed after 360 days. Under extreme circumstances (eg. death or permanent disability), these timeframes may be waived, at the sole discretion of the Company. The Purchaser agrees that this vesting is to protect their investment and their capital from undue volatility.
